Environdent™ Program Terms and Conditions

Please read these terms and conditions carefully before enrolling in our Environdent Program.

Hu-Friedy Mfg. Co., LLC ("Hu-Friedy," "we" or "us") and the other member companies of HuFriedyGroup (collectively with Hu-Friedy, "HFG"), require everyone enrolled in Environdent to adhere to these Terms and Conditions ("Environdent Terms"). By enrolling in Environdent, you agree, on your own behalf and on behalf of any corporation or other legal entity that you represent or for which you access the Online Account ("Company"), to be bound by and comply with these Environdent Terms. Do not enroll in our Environdent Program if you do not so agree.

  1. Enrollment

    To enroll, you must provide your name, practice name, address, phone and other requested information, and create log-in credentials, to create your user account ("Account"). You acknowledge and agree:

    1. to provide accurate information, which you will keep current;
    2. that you are responsible for maintaining the confidentiality of your log-in credentials and agree not to share them with anyone else;
    3. that you will be solely responsible for use of your Account based on your log-in credentials, including without limitation unauthorized use;
    4. to immediately notify us of disclosure or unauthorized use of your log-in credentials or Account; and
    5. we may act on instructions received through your log-in credentials and/or Account, and we may, but are not obligated to, with or without notice to you, deny access and/or block any activity conducted with your log-in credentials or Account if we suspect unauthorized activity.

  2. Prices and Payment

    We reserve the right to modify Environdent prices at any time. In the event of any price change, we will notify you in writing and any such change will not apply until your next billing cycle. All payments due will be charged to the payment method you provide in your Account, on the payment dates indicated on the "Account" page. You authorize charges to alternative payment methods you provide in case your primary payment method is declined or no longer available to us. If payment is not received for any reason, we may suspend your Account until payment is received. We use a third-party payment processor to process all payment transactions, which processor we can change at any time. We do not collect, process or store your payment information, such as credit card information. You acknowledge and agree that all such information is separately collected, processed and stored by the payment processor and is subject to its posted privacy policy. We expressly disclaim all responsibility for, and will have no liability to you in connection with, the services provided by the payment processor. You agree to be bound by the separate terms and conditions applicable to the third-party payment processing services; authorize us to have the payment processor charge the amounts owed to the payment method you provide; and will pay for all associated payment processing fees.

  3. Changes to Environdent Program

    We may change the terms and conditions of our Environdent program, including these Environdent Terms, at any time, and all such changes are effective immediately with notice, unless we provide otherwise in writing. Such changes will be communicated on environdent.com and also by us posting a new version of these Environdent Terms. Please view both regularly to stay abreast of any changes. Your continuing enrollment in Environdent constitutes your continuing agreement to be bound by our most recent Environdent terms and conditions. If you do not agree, cancel your membership at any time.

  4. Cancellation

    1. You can cancel your membership at any time by logging into your account. Click “Account” in the upper right corner and follow the instructions to cancel. If you cancel a Classic Plan, your membership will terminate immediately and you will no longer be able to recycle any instruments or redeem any free instruments. If you cancel a Premium Plan, your Premium Plan will continue until the expiration of the then current one-year recycling period for which you have paid (this date is available in the “Billing Details” on the “Account” page). There are no refunds for pre-paid fees. However, you may request a full refund of the Premium Plan fee if you cancel within 30 days of initial enrollment in the Premium Plan and you have not submitted any instruments for recycling.
    2. Hu-Friedy may terminate this program at any time in which event you will be refunded any pre-paid annual fees in an amount pro-rated basis based on the number of free instruments you have received in that one-year recycling period. Moreover, we may, without notice or liability, immediately suspend, limit and/or terminate your access to your Account for any reason, including without limitation: (i) we believe that you have violated any of these Environdent Terms; (ii) at the request of law enforcement, government agencies or courts; (iii) unexpected technical or security issues or problems; and/or (iv) we believe your use of or access to the Account may create any risk for us, our subsidiaries, affiliates, contractual partners or other users. Termination of your access to your Account may include but is not limited to: (i) the deletion of some or all of the information associated with your Account; and/or (ii) banning you from using the Account or any portion thereof by any available means, including without limitation by blocking your IP address. Any suspension or termination of your Account shall not affect your obligations to us under these Environdent Terms.

  5. Terms of Use

    Our Terms of Use (“Terms of Use”) available at HuFriedyGroup Terms of Use, which includes without limitation our Privacy Policy available at HuFriedyGroup Privacy Policy, are incorporated herein by reference. For the avoidance of doubt, all references to Environdent Terms will be interpreted to include the Terms of Use, and all defined references in the Terms of Use to: (i) “Terms” will be interpreted to include these Environdent Terms; (ii) “Content” will be interpreted to include the www.environdent.com and your Account; (iii) “Site” will be interpreted to include www.environdent.com and your Account; and (iv) “Submission” will be interpreted to include all data you submit in Account. In the event of any conflict, the descending order of control will be these Environdent Terms, Privacy Policy then Terms of Use. These Environdent Terms and all documents referenced herein constitute the entire agreement between you and us with respect to this subject matter and all other written or oral agreements or understandings between you and us with respect to the subject matter hereof are null and void.
